Sun's Commitment to Corporate Governance

Sun has always been dedicated to the highest standards of business integrity, and over the past two decades we've continually taken steps to reinforce that commitment. By doing so we've built a valuable reputation for integrity. It is our belief that adherence to sound principles of corporate governance, through a system of checks, balances and personal accountability is vital to protecting Sun's reputation, assets, investor confidence, and customer loyalty. We have zero tolerance for unethical behavior.

In the early 1990's we started publishing our Standards of Business Conduct, with which all employees are required to comply. In early 2001, we formed a Business Conduct Office, now under the leadership of Cheryl Fackler Hug, our Chief Compliance Officer. The Business Conduct Office has designed and implemented a variety of training resources which highlight expectations of employees regarding responsible business conduct and provides tools for employees globally to respond effectively to ethical issues and conduct their work with integrity.

Sun has received great recognition for its focus on business conduct and for developing leading edge integrity learning initiatives. Sun is committed to continuing to develop curriculum for future training courses in order to prepare employees in an ever-changing business environment.

Beyond providing our employees with the knowledge and resources necessary to conduct ethical business, we are committed to prompt and full public disclosure. We provide broad information on earnings through our quarterly earnings call, our website and our press releases. We continually work to make our disclosures clear and easy to understand. At Sun, we strive to achieve the highest standards in transparent accounting and reporting.

Above all, the foundation of Sun's integrity is our commitment to sound corporate governance. Sun's corporate governance structure includes our board of directors and its committees, which meet five times per year. Our board recently adopted new corporate governance guidelines and the majority of our board members are independent. Each of our board committees are described in detail within this site and all committee charters are also available for download.
